Effective date: 2026-07-27 Licensor: Yaroslav Serhiienko, carrying on business as DriveVision, a sole proprietorship in the Province of Ontario, Canada ("DriveVision", "we", "us") Product: Groundkeep, a local-first personal dashboard application ("the Software") Contact: hello@groundkeep.app — for refunds (Section 8), licence-key problems, and anything else about this agreement.
By purchasing, downloading, installing, or using the Software, you ("you", the "Licensee") agree to these terms.
We grant you a perpetual, non-exclusive, non-transferable license to install and use one copy of the purchased version of the Software for your own personal use, on devices you own or control. The version you purchased continues to work indefinitely; no remote "kill switch" disables a paid copy.
Your purchase includes 12 months of updates from the date of purchase — the same window for every buyer, founding cohort included. After that window, your installed version keeps working forever; continued access to *new* versions requires an optional renewal. Updates are a convenience, not a guarantee of any specific future feature.
The Software is source-available but proprietary — all rights reserved. You may not:
You may read, inspect, and modify the source for your own personal use on your own installation.
The Software is local-first: your data is stored in a database file on your own machine (or, for the optional hosted/Cloud tier, on infrastructure we operate on your behalf — see §6 of the Privacy Policy for where it is stored, who processes it, how long it is kept and how to delete it). We do not collect telemetry from the local Software, and the Software makes no license-validation or update-check call to us. The Privacy Policy lists every network connection the Software can make and what turns each one on or off. You are responsible for your own backups except where a paid backup/hosting tier explicitly provides them.
Optional AI-agent features require your own separate, paid subscription to a third-party service (e.g. Claude Code). We do not provide, and are not responsible for, that third-party service, its availability, or its costs.
DriveVision and Groundkeep are independent of, and not affiliated with, endorsed by, or sponsored by, Anthropic. "Claude" and "Claude Code" are trademarks of Anthropic. No Anthropic subscription is bundled with, or included in the price of, the Software.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR IT. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DATA LOSS.
Local licence (one-time purchase). Sold on request rather than by instant download. You ask us for it, we reply with a link and answer whatever you want to ask first, and you buy after that. Because the purchase follows a conversation with us rather than preceding one, purchases are final and we do not offer refunds.
Groundkeep Cloud (subscription). Every plan starts with a 7-day free trial and takes a card up front so your instance keeps running when the trial ends. Cancel any time before the trial ends and you are never charged — that trial is your opportunity to decide. After it, charges are final: cancelling stops future charges, and we do not refund the current or any past period. Cancelling is self-serve on your account page, and your data is kept for 30 days afterwards so you can change your mind (Privacy Policy §6).
Where the law says otherwise. Nothing in this section removes rights you have under mandatory consumer law where you live — for example a statutory right of withdrawal on a distance purchase in the EU or UK. Where such a right applies it overrides the paragraphs above; write to hello@groundkeep.app and we will honour it.
This license terminates automatically if you breach Section 3. On termination you must stop using and delete your copies of the Software.
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
