Groundkeep — End-User License Agreement (EULA)

Effective date: 2026-07-27 Licensor: Yaroslav Serhiienko, carrying on business as DriveVision, a sole proprietorship in the Province of Ontario, Canada ("DriveVision", "we", "us") Product: Groundkeep, a local-first personal dashboard application ("the Software")

By purchasing, downloading, installing, or using the Software, you ("you", the "Licensee") agree to these terms.

1. License granted

We grant you a perpetual, non-exclusive, non-transferable license to install and use one copy of the purchased version of the Software for your own personal use, on devices you own or control. The version you purchased continues to work indefinitely; no remote "kill switch" disables a paid copy.

2. Updates

Your purchase includes 12 months of updates from the date of purchase — the same window for every buyer, founding cohort included. After that window, your installed version keeps working forever; continued access to *new* versions requires an optional renewal. Updates are a convenience, not a guarantee of any specific future feature.

3. What you may not do

The Software is source-available but proprietary — all rights reserved. You may not:

You may read, inspect, and modify the source for your own personal use on your own installation.

4. Your data

The Software is local-first: your data is stored in a database file on your own machine (or, for the optional hosted/Cloud tier, on infrastructure we operate on your behalf under a separate service description). We do not collect telemetry from the local Software, and the Software makes no license-validation or update-check call to us. The Privacy Policy lists every network connection the Software can make and what turns each one on or off. You are responsible for your own backups except where a paid backup/hosting tier explicitly provides them.

5. Third-party dependencies

Optional AI-agent features require your own separate, paid subscription to a third-party service (e.g. Claude Code). We do not provide, and are not responsible for, that third-party service, its availability, or its costs.

DriveVision and Groundkeep are independent of, and not affiliated with, endorsed by, or sponsored by, Anthropic. "Claude" and "Claude Code" are trademarks of Anthropic. No Anthropic subscription is bundled with, or included in the price of, the Software.

6. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR IT. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DATA LOSS.

8. Refunds

14-day money-back guarantee, no questions asked. Email us within 14 days of purchase and we will refund you in full. Because the Software is delivered as a downloadable file, we ask that you delete your copies on refund.

9. Termination

This license terminates automatically if you breach Section 3. On termination you must stop using and delete your copies of the Software.

10. Governing law

This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
